Building for Sale in Dubai
What Changes When You Buy the Whole Thing
A whole building is not a large apartment purchase. The register that holds the title may not be the Dubai Land Department, the VAT rate depends on what the building is rather than what it costs, the service charge apparatus you are used to may not exist at all, and you inherit a rent roll bound by statutory rent-increase brackets. Here is the structure of the transaction, with every figure sourced and no asking prices invented.
What “A Building for Sale” Actually Means in Dubai
Whole-building deals are a different asset class from unit purchases, and the phrase covers at least five of them.
Searches for a building for sale in Dubai lead to a market that barely advertises itself. Whole-asset transactions are mostly off-market, negotiated between owners, family offices and institutions, and the stock behind the phrase is not one thing. It covers a residential block let to households; a mixed-use building with retail at ground level and apartments above; a standalone office tower or a floor-plate asset; staff and labour accommodation let to corporate occupiers; and hotel or serviced assets whose income depends on an operator rather than on tenancies.
Those five behave differently in almost every respect that matters — the VAT treatment of the purchase, how income is contracted, which law governs the occupiers, and who sets the operating budget. A buyer who has only ever bought apartments will find that the familiar parts of a Dubai transaction, the 4% at the Dubai Land Department and the title deed at the end of it, are the parts that change least. Everything around them changes considerably.
One Title, or Many? The Question That Changes Everything
Before price, before yield, establish whether the building has been subdivided into separately titled units.
Dubai buildings come in two fundamentally different legal shapes, and the distinction is not visible from the street. A building may be held on a single title, never subdivided, so that the land and the whole structure are one registered asset. Or it may be jointly owned real property, subdivided into separately titled units with defined common areas — the structure that makes it possible to sell apartment 1203 to one person and apartment 1204 to another.
Where a building is jointly owned real property, Law No. 6 of 2019 concerning ownership of jointly owned real property in the Emirate of Dubai applies. That law holds the definitions of Service Charges, Usage Charges, Management Entity and Jointly Owned Real Property; it makes the owner liable for his share of the annual service charges covering management, operation, maintenance and repair; it provides that a management entity must not charge owners without first obtaining RERA’s approval; and it requires the management entity to open a service charges account for each jointly owned property with a bank licensed in the Emirate and recognised by RERA. Approved rates are published through the Mollak system. Our guide to Mollak sets out how that approval and billing chain works, and our guide to service charges in Dubai covers what the charge pays for.
Buy a building held on a single title and that apparatus is simply absent. There is no owners’ association issuing you an invoice, no RERA-approved rate to read off the Mollak index, and no No Objection Certificate confirming that service charges are clear, because there were never any to clear. This is frequently presented as a saving. It is not. The lifts, chillers, pumps, fire systems, cleaning, security and reserve fund all still have to be paid for — the cost has simply moved from a regulated, approved and externally banked budget onto your own profit and loss, where you set it, fund it and carry the consequences of under-funding it. For a buyer used to a published service charge, the honest reframing is that you have taken on the job the management entity used to do.
The VAT Position Is Not One Rate
A mixed-use building can carry more than one VAT treatment in a single transaction. This is where whole-asset deals most often go wrong.
Commercial property
Supplies of commercial property are taxable at the standard rate. An office, retail or warehouse building is a standard-rated transaction.
Residential, generally
Residential supplies are generally exempt — which also means an owner making only exempt supplies cannot recover VAT on related expenses.
First supply of a new residential building
Zero-rated where the supply, by sale or lease, occurs within three years of completion, which lets developers recover VAT on construction costs.
Those three treatments are as stated by the UAE Federal Tax Authority in its published real estate VAT guidance, and they are set out at greater length in our guide to commercial property in Dubai. Read them together and the consequence for a whole building becomes clear: the rate is a function of what the building is and how long ago it was completed, not of how large the cheque is. A second-hand residential block and a new one sold by its developer inside the three-year window are taxed completely differently. A building with retail at street level and flats above may require the consideration to be apportioned across treatments.
Two further points carry real money. A VAT-registered business may generally recover eligible input VAT incurred on commercial property, subject to the normal recovery rules, which makes the 5% a cashflow cost rather than a permanent one for many commercial buyers — but only where the registration and the recovery conditions are actually met. And registration is mandatory where taxable supplies and imports exceed AED 375,000 over the past 12 months or are expected to within 30 days, a threshold that commercial rent from a whole building will usually pass. Where the seller is not the developer, the buyer settles the VAT with the Federal Tax Authority and presents the payment reference to the Dubai Land Department before the transfer can complete, so even a recoverable amount is real cash out at completion. Take advice on your own position; none of this is tax advice.
The 4% on a Building-Sized Number
Nothing about the Dubai Land Department’s fee schedule scales down for large assets. The DLD charges a registration fee of 4% of the sale value, which its published schedule splits as 2% from the seller and 2% from the buyer, though many Dubai contracts override the split by private agreement and place the whole 4% on the buyer. On a unit purchase this is a line item. On a whole building it is a funding requirement, payable in cash at transfer, and it should be the first number in your model rather than a rounding allowance at the end of it.
The fixed charges around it are almost indifferent to value: a title deed certificate issuance fee of AED 250, a map fee of AED 225 or AED 250, a knowledge fee of AED 10 and an innovation fee of AED 10. The Real Estate Registration Trustee office that executes the transfer charges AED 4,000 plus VAT on any sale of AED 500,000 or above. Where a mortgage is registered the DLD charges 0.25% of the mortgage value; releasing an existing mortgage over the asset carries AED 1,290 for the release procedure and AED 315 for the registrar. The full published schedule with its sources is in our guide to DLD fees in Dubai, and the counter itself in our explainer on the trustee office.
Anti-money-laundering reporting also behaves differently at this scale, because it is triggered by the characteristics of a transaction rather than by suspicion. A freehold sale or purchase settled by a single cash transaction, or by multiple cash transactions, amounting to or exceeding ٥٥٬٠٠٠ درهم إماراتي obliges the broker to file a Real Estate Activity Report through the Financial Intelligence Unit’s goAML platform, under the circular announced by the UAE Ministry of Economy on 7 July 2022 — and it applies to the entire value of the property or any part of it. On a corporate acquisition expect beneficial-ownership and source-of-funds work to be extensive. Our guide to AML checks on Dubai property sets out what is asked for, and buying Dubai property through a company covers the structuring question.
Published Fee Structure
Rates, not a quote — value-independent unless stated
DLD charges as published in TruHauz’s DLD fee guide; VAT treatment as stated by the UAE Federal Tax Authority in its published real estate VAT guidance. Agency commission, conveyancing, valuation, technical survey and legal fees are set by agreement and are not quoted here. No asking price, yield or loan-to-value figure is given anywhere on this page, because we could not source one for whole-building assets.
You Are Buying a Rent Roll and Its Legal Constraints
The structure is the easy part to inspect. The income is where value is made and lost, and in Dubai the income arrives attached to statutory constraints that survive the sale.
Dubai mainland tenancies are governed by Law No. 26 of 2007 regulating the relationship between landlords and tenants, as amended by Law No. 33 of 2008. Rent increases are dealt with separately by Decree No. 43 of 2013, which sets five rent-increase brackets according to how far the current rent sits below the market rate. Registration on Ejari is mandatory, and the Rental Dispute Settlement Centre, established by Decree No. 26 of 2013, has jurisdiction over disputes arising from registered tenancy contracts on the Dubai mainland. That framework is why a vendor’s claim that a building is “20% under-rented” is a hypothesis rather than a plan: how quickly you can close that gap is constrained by the brackets and by renewal timing, not by your intentions.
The diligence that follows from this is unglamorous and decisive. Reconcile the tenancy schedule the vendor gives you against the actual Ejari registrations, unit by unit, because a schedule is a spreadsheet and Ejari is a register. Establish each contract’s renewal date and where its rent sits relative to the market, since that pair determines when any reversion can realistically be captured. Confirm deposits held, cheques in hand, arrears and any live disputes at the Rental Dispute Settlement Centre. Check whether the rent includes chilled water or whether district cooling is billed separately, because that single convention moves net income materially. And where tenants are commercial, remember that their rent carries 5% VAT and is typically charged to the tenant alongside the lease amount.
On financing, we are not going to publish a loan-to-value figure for commercial or whole-building lending because we could not source one. The qualitative point from our own office guide stands: banks lend less readily on commercial property than on apartments. Treat debt capacity as something to establish with a lender against the specific asset, starting from our mortgage guide, and get an independent valuation rather than relying on the vendor’s.
What to Establish Before You Sign
Three tracks run in parallel on a whole-asset deal. None of them substitutes for the others.
The third track is the one buyers crossing over from unit purchases consistently under-resource, because in a unit purchase somebody else does it. In a single-title building nobody does it but you. Establish the age and remaining economic life of the major plant, when chillers and lifts were last replaced, what the fire and life-safety position is, whether the affection plan and building permit match what has actually been built, and what a realistic annual operating and reserve budget looks like — then fund it. A building bought on a yield calculated from a vendor’s understated operating cost is a building bought too expensively.
Two structural checks sit alongside those. Confirm which register holds the title, because a building inside a free zone such as DIFC is registered through that zone’s own property register and the process and fees differ from the mainland DLD route described here. And confirm tenure at plot level from the title deed rather than from the district name: designation under Regulation No. 3 of 2006 attaches to land plots on the Department’s maps, not to marketing names, as our guide to freehold areas in Dubai explains. For single-floor or single-unit commercial alternatives to a whole building, our guides to buying office space in Dubai, warehouses و retail units cover the smaller end of the same market, and Dubai property tax covers what is and is not taxed on holding.
