Whole-asset transactions are mostly off-market, negotiated between owners, family offices and institutions, and the stock behind the phrase is not one thing. It covers a residential block let to households; a mixed-use building with retail at ground level and apartments above; a standalone office tower or a floor-plate asset; staff and labour accommodation let to corporate occupiers; and hotel or serviced assets whose income depends on an operator rather than on tenancies.

Those five behave differently in almost every respect that matters — the VAT treatment of the purchase, how income is contracted, which law governs the occupiers, and who sets the operating budget. A buyer who has only ever bought apartments will find that the familiar parts of a Dubai transaction, the 4% at the Dubai Land Department and the title deed at the end of it, are the parts that change least. Everything around them changes considerably.

What this guide does not do. We do not quote asking prices, price per square foot, yields or loan-to-value ratios for whole-building assets in Dubai. TruHauz does not list whole buildings, we could not source those figures from a document we can name and date, and at this size an invented benchmark would be actively dangerous — a 50-basis-point error on a yield moves the capital value by millions. What follows is the structure of the transaction and the checks that determine the price, with every figure sourced.

    Title Structure

One Title, or Many? The Question That Changes Everything

Before price, before yield, establish whether the building has been subdivided into separately titled units.

Dubai buildings come in two fundamentally different legal shapes, and the distinction is not visible from the street. A building may be held on a single title, never subdivided, so that the land and the whole structure are one registered asset. Or it may be jointly owned real property, subdivided into separately titled units with defined common areas — the structure that makes it possible to sell apartment 1203 to one person and apartment 1204 to another.

Where a building is jointly owned real property, Law No. 6 of 2019 concerning ownership of jointly owned real property in the Emirate of Dubai applies. That law holds the definitions of Service Charges, Usage Charges, Management Entity and Jointly Owned Real Property; it makes the owner liable for his share of the annual service charges covering management, operation, maintenance and repair; it provides that a management entity must not charge owners without first obtaining RERA’s approval; and it requires the management entity to open a service charges account for each jointly owned property with a bank licensed in the Emirate and recognised by RERA. Approved rates are published through the Mollak system. Our guide to Mollak sets out how that approval and billing chain works, and our guide to service charges in Dubai covers what the charge pays for.

Buy a building held on a single title and that apparatus is simply absent. There is no owners’ association issuing you an invoice, no RERA-approved rate to read off the Mollak index, and no No Objection Certificate confirming that service charges are clear, because there were never any to clear. This is frequently presented as a saving. It is not. The lifts, chillers, pumps, fire systems, cleaning, security and reserve fund all still have to be paid for — the cost has simply moved from a regulated, approved and externally banked budget onto your own profit and loss, where you set it, fund it and carry the consequences of under-funding it. For a buyer used to a published service charge, the honest reframing is that you have taken on the job the management entity used to do.

Ask for the title documents first. Whether the asset is one title or many determines your operating model, your cost base, your exit options (whole-asset resale versus unit-by-unit break-up) and whether a service charge NOC is even a concept in your deal. Everything downstream is priced off that answer.

    Tax Treatment

The VAT Position Is Not One Rate

A mixed-use building can carry more than one VAT treatment in a single transaction. Read them together and the consequence for a whole building becomes clear: the rate is a function of what the building is and how long ago it was completed, not of how large the cheque is. A second-hand residential block and a new one sold by its developer inside the three-year window are taxed completely differently. A building with retail at street level and flats above may require the consideration to be apportioned across treatments.

Two further points carry real money. A VAT-registered business may generally recover eligible input VAT incurred on commercial property, subject to the normal recovery rules, which makes the 5% a cashflow cost rather than a permanent one for many commercial buyers — but only where the registration and the recovery conditions are actually met. And registration is mandatory where taxable supplies and imports exceed AED 375,000 over the past 12 months or are expected to within 30 days, a threshold that commercial rent from a whole building will usually pass. Where the seller is not the developer, the buyer settles the VAT with the Federal Tax Authority and presents the payment reference to the Dubai Land Department before the transfer can complete, so even a recoverable amount is real cash out at completion. The DLD charges a registration fee of 4% of the sale value, which its published schedule splits as 2% from the seller and 2% from the buyer, though many Dubai contracts override the split by private agreement and place the whole 4% on the buyer. On a unit purchase this is a line item. On a whole building it is a funding requirement, payable in cash at transfer, and it should be the first number in your model rather than a rounding allowance at the end of it.

The fixed charges around it are almost indifferent to value: a title deed certificate issuance fee of AED 250, a map fee of AED 225 or AED 250, a knowledge fee of AED 10 and an innovation fee of AED 10. The Real Estate Registration Trustee office that executes the transfer charges AED 4,000 plus VAT on any sale of AED 500,000 or above. The income is where value is made and lost, and in Dubai the income arrives attached to statutory constraints that survive the sale.

Dubai mainland tenancies are governed by Law No. 26 of 2007 regulating the relationship between landlords and tenants, as amended by Law No. 33 of 2008. Rent increases are dealt with separately by Decree No. 43 of 2013, which sets five rent-increase brackets according to how far the current rent sits below the market rate. Registration on Ejari is mandatory, and the Rental Dispute Settlement Centre, established by Decree No. 26 of 2013, has jurisdiction over disputes arising from registered tenancy contracts on the Dubai mainland. That framework is why a vendor’s claim that a building is “20% under-rented” is a hypothesis rather than a plan: how quickly you can close that gap is constrained by the brackets and by renewal timing, not by your intentions.

The diligence that follows from this is unglamorous and decisive. Reconcile the tenancy schedule the vendor gives you against the actual Ejari registrations, unit by unit, because a schedule is a spreadsheet and Ejari is a register. Establish each contract’s renewal date and where its rent sits relative to the market, since that pair determines when any reversion can realistically be captured. Confirm deposits held, cheques in hand, arrears and any live disputes at the Rental Dispute Settlement Centre. Check whether the rent includes chilled water or whether district cooling is billed separately, because that single convention moves net income materially. And where tenants are commercial, remember that their rent carries 5% VAT and is typically charged to the tenant alongside the lease amount.

On financing, we are not going to publish a loan-to-value figure for commercial or whole-building lending because we could not source one. A building bought on a yield calculated from a vendor’s understated operating cost is a building bought too expensively.

Two structural checks sit alongside those. Confirm which register holds the title, because a building inside a free zone such as DIFC is registered through that zone’s own property register and the process and fees differ from the mainland DLD route described here. And confirm tenure at plot level from the title deed rather than from the district name: designation under Regulation No. 3 of 2006 attaches to land plots on the Department’s maps, not to marketing names, as our guide to freehold areas in Dubai explains. Regulation No. 3 of 2006, issued by the Ruler of Dubai on 7 June 2006, provides in Article 3 that non-UAE nationals may acquire freehold ownership rights over real property without time restriction, usufruct rights, or leasehold rights for up to ninety-nine years, in respect of the land plots indicated opposite each of the listed areas as shown by the maps issued by the Department. The original schedule names 23 areas and has been amended by later resolutions. The complication specific to buildings is the register: several of Dubai’s principal commercial districts sit inside free zones that maintain their own property registers rather than registering solely through the mainland Dubai Land Department. DIFC, for example, keeps its own property register, so the process and fees differ from the DLD route. Establish which authority registers title for the specific building before you negotiate.

Is a whole building in Dubai treated as jointly owned property?+

That depends on whether it has been subdivided into separately titled units, and it is the single most consequential question in the deal. Law No. 6 of 2019 concerning ownership of jointly owned real property in the Emirate of Dubai governs developments divided into units with common areas, and it is the law that makes an owner liable for annual service charges, requires a management entity to obtain RERA’s approval before charging owners, and requires that entity to open a service charges account for the property with a bank licensed in the Emirate and recognised by RERA. Approved rates are published through the Mollak system. A building held on a single title, never subdivided, does not sit inside that unit-and-common-area structure, so there is no owners’ association billing you and no Mollak-approved rate to read. The cost does not disappear; it moves onto your own profit and loss, and you set and fund the operating budget yourself. Confirm which structure applies from the title documents rather than assuming.

Do you pay VAT on buying a building in Dubai?+

It depends on what the building is, and a mixed-use building can attract more than one treatment. Under the UAE Federal Tax Authority’s published real estate VAT guidance, supplies of commercial property are taxable at the standard rate of 5%, residential supplies are generally exempt, and the first supply of a new residential building is zero-rated where the supply occurs within three years of completion. So an office or retail building is a 5% transaction, a second-hand residential block is generally an exempt one, and a newly completed residential building sold by its developer inside that three-year window is zero-rated. A building with shops at ground level and apartments above can therefore require the consideration to be apportioned between treatments. A VAT-registered business may generally recover eligible input VAT on commercial property, subject to the normal recovery rules, while an owner making only exempt residential supplies cannot. VAT registration is mandatory where taxable supplies and imports exceed AED 375,000 over the past 12 months or are expected to within 30 days. This is general information, not tax advice.

What does the Dubai Land Department charge to transfer a building?+

The registration mechanics are the same as for a single apartment, which is precisely why the bill is large. The DLD charges a registration fee of 4% of the sale value, which its published schedule splits as 2% from the seller and 2% from the buyer, although many Dubai sale contracts reassign the whole amount to the buyer by private agreement. Around that sit fees that barely move with value: a title deed certificate issuance fee of AED 250, a map fee of AED 225 for a unified Dubai Municipality map or AED 250 for villas and apartments, a knowledge fee of AED 10 and an innovation fee of AED 10. The transfer is executed at a Real Estate Registration Trustee office, which charges AED 4,000 plus VAT on any sale of AED 500,000 or above. Where a mortgage is registered the DLD charges 0.25% of the mortgage value, and releasing an existing mortgage carries its own charges of AED 1,290 for the release procedure and AED 315 for the registrar. On a whole-building value the 4% is the number to model first.

What should you check before buying a tenanted building in Dubai?+

You are buying the rent roll and its legal constraints, not just the structure, so the tenancy position deserves more work than the building fabric. Dubai mainland tenancies are governed by Law No. 26 of 2007 regulating the relationship between landlords and tenants, as amended by Law No. 33 of 2008. Rent increases are dealt with separately by Decree No. 43 of 2013, which sets five rent-increase brackets according to how far the current rent sits below the market rate, so a rent roll that looks under-rented cannot simply be repriced at will on renewal. Registration on Ejari is mandatory, and the Rental Dispute Settlement Centre, established by Decree No. 26 of 2013, has jurisdiction over disputes on registered tenancy contracts. Practically, that means reconciling the vendor’s tenancy schedule against actual Ejari registrations, checking which contracts are due for renewal and where each sits against the market, confirming deposits and any arrears, and establishing the service charge or operating cost position before you price the income.

Does buying a building in Dubai qualify for a Golden Visa?+

The published property route has a value threshold that a whole building clears comfortably, so the threshold is rarely the obstacle at this scale. The UAE Government portal at u.ae, read on 4 November 2026, lists real estate investors under the category Investors in public investments or real estate with a five-year residency duration, stating a requirement of a minimum capital of AED 2 million, with an alternative route of property ownership or contribution to an establishment paying at least AED 250,000 annually in taxes. What needs care is the structure rather than the value. Where the asset is bought through a company rather than personally, which is common for income-producing buildings, the eligibility analysis is different from a personal purchase, and the register that holds title matters too. Establish which authority registers title for the specific building before you negotiate."
   }
  },
  {
   "@type": "Question",
   "name": "Is a whole building in Dubai treated as jointly owned property?",
   "acceptedAnswer": {
    "@type": "Answer",
    "text": "That depends on whether it has been subdivided into separately titled units, and it is the single most consequential question in the deal. Confirm which structure applies from the title documents rather than assuming."
   }
  },
  {
   "@type": "Question",
   "name": "Do you pay VAT on buying a building in Dubai?",
   "acceptedAnswer": {
    "@type": "Answer",
    "text": "It depends on what the building is, and a mixed-use building can attract more than one treatment. This is general information, not tax advice."
   }
  },
  {
   "@type": "Question",
   "name": "What does the Dubai Land Department charge to transfer a building?",
   "acceptedAnswer": {
    "@type": "Answer",
    "text": "The registration mechanics are the same as for a single apartment, which is precisely why the bill is large. On a whole-building value the 4% is the number to model first."
   }
  },
  {
   "@type": "Question",
   "name": "What should you check before buying a tenanted building in Dubai?",
   "acceptedAnswer": {
    "@type": "Answer",
    "text": "You are buying the rent roll and its legal constraints, not just the structure, so the tenancy position deserves more work than the building fabric. Practically, that means reconciling the vendor’s tenancy schedule against actual Ejari registrations, checking which contracts are due for renewal and where each sits against the market, confirming deposits and any arrears, and establishing the service charge or operating cost position before you price the income."
   }
  },
  {
   "@type": "Question",
   "name": "Does buying a building in Dubai qualify for a Golden Visa?",
   "acceptedAnswer": {
    "@type": "Answer",
    "text": "The published property route has a value threshold that a whole building clears comfortably, so the threshold is rarely the obstacle at this scale. The portal page cited here does not address corporate ownership or the free-zone registers, so confirm the position with the Dubai Land Department or the GDRFA before relying on it.
